Terms of Service

You must be at least 13 years old to create or use an Athletes Around account.

Users under 18 ("Minor Users") may use the Platform only as permitted by applicable law and these Terms. Certain activities, including participation in or registration for sporting events, may require the involvement, consent, authorization, or signature of a parent or legal guardian.

Users under 13 may not create an account.

If Athletes Around determines that an account belongs to a person who is not eligible to use the Platform, Athletes Around may restrict, suspend, or delete the account.

The Platform is currently intended for users located in the United States.

Athletes Around provides technology designed to help athletes, teams, organizers, coaches, and other members of the sports community connect and participate in sports-related activities.

Platform features may include:

• Athlete and organizer profiles
• Sports and team information
• Social posts and other user-generated content
• Training and workout tracking
• Event discovery
• Tournament, league, camp, tryout, and other event listings
• Event registration and check-in
• Team functionality
• Messaging
• Location-based discovery
• Event management
• Payment and registration functionality
• Sports schedules, scores, standings, and related information
• Other sports-related features we may introduce

Unless Athletes Around expressly identifies itself as the organizer of a particular event, Athletes Around does not organize, operate, supervise, coach, manage, officiate, or control events listed by independent organizers through the Platform.

Organizers are independent users or organizations.

An organizer's use of Athletes Around does not create an employment, partnership, joint venture, agency, franchise, or similar relationship between the organizer and Athletes Around.

Organizers are responsible for the events they create and operate, including their event information, personnel, facilities, safety procedures, eligibility requirements, rules, scheduling, required permits, insurance where applicable, and compliance with applicable laws.

Athletes Around does not guarantee the quality, safety, legality, accuracy, availability, or suitability of any independently operated event, organizer, athlete, team, facility, or activity appearing on the Platform.

You agree to provide accurate and current information when creating and maintaining your account.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

You may not:

• Impersonate another person or organization
• Create an account using false or materially misleading information
• Sell or transfer your account without authorization
• Access another user's account without permission
• Use the Platform after your account has been suspended or terminated unless Athletes Around expressly permits it

Athletes may create profiles containing information such as their name, username, profile image, sports, teams, athletic level, accomplishments, posts, training information, and location.

Certain profile information may be visible to other Platform users.

Users are responsible for deciding what optional information they choose to make available through their profiles, subject to Platform privacy controls.

Athletes Around may establish additional privacy protections or visibility restrictions for Minor Users.

Athletes Around may use location information to provide features such as nearby events, athletes, teams, facilities, and other geographically relevant content.

Depending on your settings and permissions, your profile may also display location information to other users.

Athletes Around may limit the precision of publicly displayed location information, particularly for Minor Users.

Users should not publish home addresses, real-time whereabouts, or other sensitive location information in posts, profiles, messages, or event descriptions unless necessary and appropriate.

Device-level location access is subject to your device permissions and the practices described in our Privacy Policy.

Athletes Around may implement additional protections for users under 18, including restrictions involving:

• Profile visibility
• Location visibility
• Search and discovery
• Messaging
• Contact between adults and minors
• Event registration
• Content visibility
• Reporting and blocking

Athletes Around may provide direct messaging and other communication features.

You may not use these features to:

• Harass or threaten another person
• Send unwanted sexual or romantic communications
• Exploit or solicit minors
• Send spam
• Commit or facilitate fraud
• Request prohibited payments
• Distribute malicious links or software
• Impersonate another person
• Circumvent another user's block
• Engage in conduct prohibited by our Community Guidelines

Users may be permitted to create, upload, publish, transmit, or share content including photographs, videos, posts, comments, messages, event information, team information, statistics, workout information, and other material ("User Content").

You retain ownership of User Content you create, subject to the rights granted in these Terms.

By making User Content available through the Platform, you grant Athletes Around a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, and otherwise use that content as reasonably necessary to operate, provide, secure, improve, and promote the Platform, subject to our Privacy Policy and your applicable privacy settings.

You represent that you have the necessary rights to submit your User Content.

You may not upload content that violates another person's intellectual property, privacy, publicity, or other legal rights.

All users must comply with the Athletes Around Community Guidelines.

Prohibited conduct includes, among other things:

• Bullying or harassment
• Threats or violence
• Hate or discriminatory abuse
• Sexual exploitation
• Child sexual exploitation or endangerment
• Fraud and scams
• Spam
• Impersonation
• Illegal activity
• Unauthorized commercial solicitation
• Dangerous or abusive conduct
• Attempts to evade Platform safety systems

Users may report accounts, content, messages, events, or other conduct they believe violates these Terms or the Community Guidelines.

Users may also block other users using available Platform functionality.

Athletes Around may review reports and take action it determines appropriate, including removing content, restricting functionality, canceling listings, suspending accounts, or permanently terminating accounts.

Submitting a report does not guarantee a particular outcome.

Knowingly submitting false or abusive reports may itself violate these Terms.

Users who create, publish, operate, or manage events through Athletes Around ("Organizers") are subject to these Terms and any separate Organizer Terms applicable to the Platform.

Organizers are responsible for:

• Providing accurate event information
• Operating their events safely and lawfully
• Establishing appropriate participant eligibility requirements
• Obtaining required permissions, permits, licenses, and insurance
• Maintaining appropriate staff and supervision
• Establishing and honoring their stated refund and cancellation policies
• Obtaining appropriate participant agreements and waivers
• Complying with laws relating to minors
• Handling event disputes appropriately
• Ensuring that their event does not violate Platform rules

Before registering, participants are responsible for reviewing the event description, eligibility requirements, location, schedule, refund policy, waivers, and other applicable event terms.

Registration may require acceptance of:

• Athletes Around's applicable participant waiver or acknowledgment
• An Organizer-provided event-specific waiver
• Both

Participation in sports and athletic activities involves inherent risks, including the possibility of serious injury, disability, property damage, and, in rare circumstances, death.

Athletes Around does not supervise independent sporting activities merely because they are discovered, listed, registered for, or managed using the Platform.

Participants are responsible for evaluating whether an activity is appropriate for them and following applicable event and facility safety requirements.

Additional assumption-of-risk and release provisions may apply when registering for particular events.

Independent Organizers generally establish the refund and cancellation policy applicable to their events.

The applicable refund policy should be presented to participants before registration or payment.

By completing a registration, the participant agrees to the refund policy presented for that event.

Organizers are responsible for accurately communicating and honoring their selected policies.

Additional rules may apply when an event is canceled, materially changed, postponed, disputed, or subject to payment reversal. Athletes Around's separate Refund & Cancellation Policy provides additional information.

Certain Platform functionality may permit users to make or receive payments.

Payments may be processed by third-party payment providers. Athletes Around does not directly store complete payment card credentials when those credentials are handled by the applicable payment processor.

Users agree to provide accurate payment information and authorize applicable charges associated with transactions they initiate.

Athletes Around may introduce clearly disclosed service, transaction, subscription, or other fees in the future. Any applicable fee will be communicated as required before the user completes the relevant transaction or purchase.

Athletes Around may restrict attempts to circumvent Platform payment, registration, safety, or fraud-prevention systems.

Organizers may not use event descriptions, posts, messages, or other Platform functionality to direct users toward prohibited payment arrangements in violation of applicable Platform rules.

Athletes Around is not responsible for unauthorized transactions conducted outside the Platform.

Athletes Around may integrate with third-party products and services, including payment processors, mapping services, identity-verification providers, authentication services, analytics providers, cloud infrastructure providers, and other technology providers.

Use of those services may also be subject to their respective terms and privacy policies.

Athletes Around is not responsible for third-party services outside its reasonable control.

The Athletes Around name, logos, Platform design, software, graphics, branding, and other materials owned by Athletes Around are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, license, reverse engineer, or commercially exploit Athletes Around intellectual property.

These Terms do not transfer ownership of Athletes Around intellectual property to users.

Athletes Around respects intellectual property rights.

Users who believe content on the Platform infringes their copyright may contact Athletes Around using the contact information provided below.

Athletes Around may remove allegedly infringing material and may terminate repeat infringers when appropriate.

Additional copyright reporting procedures may be established as the Platform develops.

Athletes Around may restrict, suspend, or terminate access to the Platform when reasonably necessary to:

• Enforce these Terms
• Protect users
• Investigate fraud or abuse
• Address legal or regulatory requirements
• Protect Platform security
• Prevent harm
• Address serious or repeated violations

Users may request deletion of their Athletes Around account through the functionality provided in the Platform.

Deleting an account generally results in deletion or de-identification of associated personal information and User Content, subject to information Athletes Around may lawfully retain for purposes such as legal compliance, fraud prevention, security, dispute resolution, and enforcement.

Athletes Around does not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

Maintenance, technical problems, third-party outages, security events, or other circumstances may temporarily affect Platform functionality.

We may modify or discontinue features when reasonably necessary.

Athletes Around does not guarantee:

• The identity or conduct of every user
• The accuracy of every profile
• The qualifications of every Organizer
• The safety of every event
• The condition of every facility
• Event attendance
• Athletic results
• Recruiting opportunities
• Scholarships
• Team placement
• Employment
• Revenue or registration results for Organizers
• Any particular outcome from using the Platform

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

ATHLETES AROUND DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

Nothing in these Terms excludes rights that cannot legally be waived.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ATHLETES AROUND AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF THE PLATFORM.

Additional limitations may apply to claims involving independently operated sporting events and interactions between users.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Athletes Around and its affiliates, officers, employees, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from your material violation of these Terms, your unlawful conduct, your User Content, or your infringement of another person's rights.

Additional indemnification obligations may apply to Organizers under the Organizer Terms.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute-resolution, venue, arbitration, class-action waiver, or similar provisions should be established in the final attorney-reviewed version of these Terms.

Athletes Around should obtain legal advice before adding mandatory arbitration or class-action waiver provisions.

Athletes Around may update these Terms periodically.

When changes are material, we may provide notice through the Platform, by email, or by another appropriate method.

The effective date at the beginning of these Terms indicates when the current version became effective.

Continued use of the Platform after an updated version becomes effective constitutes acceptance where permitted by law.

When applicable, we may require users to affirmatively accept updated Terms.
